CONDITIONS OF SALE

  1. The conditions contained herein shall bind the Purchaser and the Supplier and any variation waiver of or addition to such conditions shall only be binding on the Purchaser and the Supplier in so far as the same are agreed by both parties in writing and signed on their behalf by a Director of the Supplier and an authorised representative of the Purchaser.
  2. The price of goods shall be determined as the date the said goods are dispatched and invoiced to the Purchaser and any alteration in the price between the date the goods are ordered and the date the goods are dispatched and invoiced shall be accepted by the Purchaser without notice thereof being given by the Supplier. All such prices shall be subject to Value Added Tax which will be charged at the rate applicable at the date of invoice to the Purchaser.
  3. The Supplier reserves the right to determine the supply of a minimum quantity of goods to the Purchaser and to determine the minimum quantity of goods for which the Supplier shall dispense with a charge for carriage thereof, the value of such minimum quantity of goods determined at the discretion of the Supplier at the date the goods are ordered by the Purchaser.
  4. Bespoke Printing Work : Every endeavor shall be made to deliver the correct quantity of goods ordered but orders are accepted and estimates are made conditional upon a margin of ten per cent including colour work being allowed for over or less than the amount ordered the same being charged for or deducted accordingly.
  5. The Supplier shall only accept liability for any discrepancy in the quantity of goods delivered if such goods are inspected by the Purchaser upon receipt and signed and noted on the Customer and Copy Advice Note therewith.
  6. Payment of goods shall be made within a period of 30 days after delivery of the goods as specified in the Invoice.
  7. The time, herein before mentioned, within which the Purchaser is to pay for the said goods shall be of the essence of the Contract.
  8. Subject as herein after provided the ownership of any goods delivered to the Purchaser shall be transferred to the Purchaser only when payment of all monies due from the Purchaser to the Supplier shall have been received by the Supplier.
  9. The right is reserved to charge interest at the then current rate on all overdue accounts.
  10. In respect of cheques dishonoured by the Purchaser's Bankers, an Administrative charge will be rendered at a rate to be set from time to time by the Seller.
  11. If the goods are delivered by instalments, each instalment deliverable under the said contract shall be deemed to be sold under a separate contract and the party in default in respect of any such instalment shall be liable in damages accordingly, but such default shall not entitle the other party to repudiate the contract with regard to any instalment remaining deliverable nor shall either party be entitled to enforce or demand delivery as the case may be of any instalment after the time appointed for delivery thereof.
  12. All contracts hereunder shall be deemed to be made at the Supplier's Registered Office namely at 205 Great Bridge Street, West Bromwich, West Midlands, B70 0DJ and unless otherwise agreed the Contract shall be subject to English Law.
